Martin is a corporate and investment management attorney focused on private funds, asset management, and complex transactional matters. He advises sponsors, asset managers, and operating companies on fund formation, regulatory strategy, and high-value commercial transactions, with particular experience in digital assets and emerging investment products.

Martin's practice spans the full lifecycle of private and registered funds, including structuring, formation, investor negotiations, and ongoing governance. He regularly drafts and negotiates fund governing documents, side letters, and transaction agreements, and advises on SEC regulatory matters, including registration and compliance frameworks. His experience includes representing clients across a wide range of strategies, including private equity, venture capital, credit, real estate, and digital asset funds.

Prior to joining the firm, Martin served as Senior Legal Counsel at 21Shares, where he played a key role in structuring and launching innovative investment products, including some of the first Bitcoin and Ethereum ETFs in the United States. His work included leading fund formation, coordinating regulatory filings with the SEC and exchanges, negotiating with service providers, and building compliance and operational frameworks for newly launched products.

Previously, Martin was an associate in the Private Funds group at Paul, Weiss, where he advised leading asset managers on fund formation and strategic transactions. His experience includes working on multi-billion dollar fund launches, continuation fund transactions, co-investment platforms, and SEC registration matters. Martin began his career at Skadden, Arps, Slate, Meagher & Flom LLP, where he advised clients on investment management and M&A matters, including feeder fund platforms, registered fund offerings, and digital asset initiatives.
